Terms and Conditions – Agent Lizzie

Agent Lizzie is a product and brand owned and operated by GTM Play Room (“GTM Play Room”, “Company”, “we”, “us”, or “our”), a proprietorship based in Hyderabad, Telangana, India. These Terms and Conditions (“Terms”) govern access to and use of Agent Lizzie, including our website (agentlizzie.com), our AI front desk service, and all related communications, dashboards, and reports (together, the “Service”).

By signing an order form, statement of work, or pilot agreement with us, or by using the Service in any way, you (“Client”, “you”, “your”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a business, you confirm you have the authority to bind that business, and “you” refers to that business.

Please read these Terms carefully. If you do not agree to them, do not use the Service.

1. Definitions

  • “Client” means the home services business (HVAC, plumbing, or related trade) that has signed up to use Agent Lizzie.
  • “End Customer” means a customer, prospect, or caller of the Client who interacts with Agent Lizzie by phone, SMS, or other channel on the Client’s behalf.
  • “Lizzie” or “the Agent” means the AI-powered voice and messaging agent that answers calls, sends SMS, and manages bookings under the Client’s business identity.
  • “FSM Tool” means the Client’s field service management software, such as Jobber or Housecall Pro.
  • “Order Form” means the pricing and package document, pilot agreement, or invoice through which a Client purchases the Service.

2. About the Service

Agent Lizzie is an AI front desk service built for Home services businesses. Depending on the package purchased, the Service may include: answering inbound calls; capturing and following up on leads received through phone, web forms, Google Local Services Ads, Yelp, Angi, and Facebook/Meta; sending SMS follow-ups; booking, rescheduling, and cancelling appointments; detecting and routing safety emergencies; generating review requests; and delivering a weekly performance report to the Client.

Agent Lizzie operates as a white-labelled extension of the Client’s business. End Customers interact with Lizzie as though she were a member of the Client’s own front desk team. The Client is responsible for how the Service is represented to End Customers and for ensuring End Customers are, where required by law, informed that they may be interacting with an automated system.

3. Eligibility and Business Use

The Service is intended for business use by home services companies operating in the United States and is not directed at, or intended for use by, individual consumers. You must be at least 18 years old and authorized to act on behalf of the business you represent.

4. Client Account and Responsibilities

To use the Service, the Client must provide accurate business information, including but not limited to: business name, phone number, service area, hours of operation, pricing and average job ticket, FSM login or integration access where applicable, emergency keyword preferences, and a valid U.S. Employer Identification Number (EIN) for telecom registration purposes.

  • The Client is responsible for the accuracy and completeness of all information it provides during onboarding and for keeping that information current.
  • The Client is responsible for reviewing and approving call scripts, SMS templates, booking rules, and emergency keyword lists before the Service goes live.
  • The Client must promptly notify Agent Lizzie of any changes to business hours, service area, pricing, technician availability, or FSM configuration that would affect how Lizzie operates.
  • The Client is responsible for maintaining an active, functioning FSM account (where applicable) and for granting Agent Lizzie the access needed to keep both systems in sync.
  • The Client remains responsible for supervising urgent and escalated matters flagged by Lizzie, including safety emergencies, and for taking timely action on them.

5. Nature of AI-Generated Communications

Lizzie is an artificial intelligence system. While designed to sound natural and to follow the Client’s configured scripts and business rules, Lizzie’s responses are generated automatically and may occasionally be inaccurate, incomplete, or not perfectly aligned with the Client’s intent, particularly in unusual, ambiguous, or edge-case conversations.

The Client acknowledges and accepts that:

  • AI-generated calls and messages are not a substitute for human judgment in every situation, and the Client remains responsible for reviewing flagged conversations, escalations, and reports.
  • Agent Lizzie does not guarantee that every call, message, or booking will be handled without error, and the Client should promptly report any recurring issues so they can be corrected.
  • Lizzie’s understanding of a conversation depends on the information the caller provides and the business rules configured by the Client; incomplete or incorrect setup information may affect call quality.

6. Emergency Detection – Important Disclaimer

Agent Lizzie includes an emergency keyword detection feature that is designed to identify likely safety emergencies (such as gas leaks, carbon monoxide alarms, or active flooding) based on keywords defined by the Client at onboarding, and to alert the Client accordingly.

This feature is a triage and alerting aid only. It is not a substitute for emergency services. Agent Lizzie does not contact 911 or any emergency dispatch service on behalf of the Client or End Customer, and it cannot guarantee that every safety emergency will be correctly identified, classified, or escalated in every conversation. The Client must instruct its callers, where appropriate, to contact 911 or local emergency services directly for life-threatening emergencies, and must ensure its own team responds promptly to emergency alerts sent by Lizzie. Agent Lizzie is not liable for delays, missed detections, or outcomes arising from a safety emergency, except to the extent caused by our gross negligence or wilful misconduct.

7. Calling, SMS, and Consent Compliance

Agent Lizzie sends calls and SMS messages to End Customers on the Client’s behalf using a dedicated local phone number. Use of automated calling and texting technology in the United States is regulated, including under the Telephone Consumer Protection Act (TCPA) and related carrier requirements for Application-to-Person (A2P) messaging.

The Client represents and warrants that it has, or will obtain, all consents required by law from its End Customers to be contacted by call and SMS, including for follow-up, booking, review, and reminder communications, and that its own lead sources (such as web forms, Google LSA, and ad platforms) capture such consent appropriately.

Agent Lizzie will register the Client’s messaging use case with telecom carriers (A2P 10DLC registration) using the Client’s business information and EIN, acting as the Client’s registered agent for this purpose. This process typically takes one to two weeks, and production SMS sending will not begin until registration is approved. This timeline is outside our control.

Every End Customer may opt out of SMS communications at any time by replying “STOP” or similar, and Agent Lizzie will honor such requests immediately and permanently across all future messaging for that contact.

The Client is responsible for ensuring its own marketing and lead-generation practices (such as paid ads and lead forms) comply with applicable consent and disclosure requirements. Agent Lizzie is not responsible for consent defects arising from lead sources outside its control.

8. Third-Party Integrations and Tools

The Service is built using a combination of third-party infrastructure providers, which may include telephony and messaging providers, scheduling software, customer data platforms, AI language model providers, and client dashboard tools. These providers may change from time to time as we improve the Service.

Where the Service integrates with the Client’s FSM tool (such as Jobber or Housecall Pro) or other third-party accounts, the Client is responsible for maintaining its own subscriptions to those tools and for granting the necessary permissions. Agent Lizzie is not responsible for outages, changes, or limitations in third-party tools that are outside our control.

9. Fees, Billing, and Payment

All fees for the Service are set out in the applicable Order Form and are billed and collected by GTM Play Room, the operating entity for the Agent Lizzie brand.

  • Setup fees are one-time and, unless otherwise stated in the Order Form, non-refundable once onboarding and configuration work has begun.
  • Monthly retainer fees are billed in advance on a recurring basis from the applicable start date and are non-refundable for the period billed.
  • Packages are offered on a month-to-month basis unless the Order Form specifies a minimum term (for example, a 3-month minimum for certain packages).
  • The pilot package, where offered, includes setup and the first month’s retainer at the pilot price; standard package pricing applies automatically from the second month onward unless the Client cancels before that date.
  • Fees may be revised for future billing periods with at least 30 days’ written notice. Revised fees do not apply retroactively.
  • Late or failed payments may result in suspension of the Service until payment is received. Repeated non-payment may result in termination.

10. Term, Cancellation, and Termination

These Terms remain in effect for as long as the Client uses the Service. Either party may cancel a month-to-month package with 30 days’ written notice, subject to any minimum term stated in the Order Form. We may suspend or terminate the Service immediately if the Client breaches these Terms, fails to pay fees when due, or uses the Service in a manner that violates applicable law.

On termination, the Client’s access to the dashboard, call answering, and SMS functionality will end. We will provide the Client with a reasonable opportunity, upon written request made within 30 days of termination, to export lead and booking data collected during the engagement, in a reasonable common format.

11. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or pricing information disclosed by the other party in connection with the Service, and to use it only for purposes of the engagement. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is independently developed without reference to the other party’s confidential information.

12. Intellectual Property

The Agent Lizzie name, brand, character, scripts, workflows, software, and underlying technology are the property of GTM Play Room and its licensors. The Client is granted a limited, non-exclusive, non-transferable right to use the Service for its own business during the term of the engagement. Nothing in these Terms transfers ownership of our intellectual property to the Client.

The Client retains ownership of its own business data, lead records, and customer information processed through the Service. We may use aggregated, anonymized, and de-identified data derived from the Service to improve Agent Lizzie’s performance across all clients.

13. Disclaimer of Warranties

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that every call, lead, or booking will be captured or handled without error.

14. Limitation of Liability

To the maximum extent permitted by law, GTM Play Room and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost profits, or lost business opportunities, arising out of or relating to the Service. Our total aggregate liability arising out of or relating to these Terms or the Service, for any cause whatsoever, will not exceed the total fees paid by the Client to us in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

15. Indemnification

The Client agrees to indemnify and hold GTM Play Room harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) the Client’s breach of these Terms; (b) the Client’s failure to obtain required consents from End Customers; (c) inaccurate information provided by the Client during onboarding or configuration; or (d) the Client’s use of the Service in violation of applicable law.

16. Data and Privacy

Our collection and use of information in connection with the Service is described in our Privacy Policy, available at agentlizzie.com/privacy, which is incorporated into these Terms by reference.

17. Force Majeure

Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to internet or telecom outages, third-party service provider failures, natural disasters, or government action.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles, and any disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India, unless otherwise agreed in writing by both parties in a specific Order Form.

19. Changes to These Terms

We may update these Terms from time to time. We will notify clients of material changes by email at least 15 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

20. Miscellaneous

  • These Terms, together with the applicable Order Form and Privacy Policy, form the entire agreement between the Client and GTM Play Room regarding the Service.
  • If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
  • Neither party may assign these Terms without the other party’s written consent, except that we may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • No failure or delay by either party in exercising any right under these Terms operates as a waiver of that right.
